1. 整套條款及細則和合同已載明我們關於本網站及貨品銷售的所有義務及責任，除非另有載明，並適用法律允許的範圍內，本網站和商品均 "按原樣" 提供，不受任何普通法、法例或其他明示或暗示的陳述、保證條款或條件所約束。我們在此明確否認和排除任何有關商品質量、適銷性、適用於特定用途及非侵權性的保證以及任何額外的損害賠償、補償或彌償。

 

The Full Set of Terms and the Contract set out the full extent of our obligations and liabilities in respect of the Websites and sale of Goods.  Except as expressly stated otherwise, and to the extent permitted by applicable law, the Websites and the Goods are provided "as is", without any representation, warranty or condition, whether express or implied, whether based on common law, statute or otherwise. We specifically disclaim and exclude any implied warranties of quality, merchant ability, fitness for a particular purpose, non-infringement and any additional damages, compensation or indemnification. 

 

2. 在適用法律允許的情況下，我們和我們所有的高級職員、代理人、僱員、承包商、其他代表和聯屬公司將不承擔任何因與本網站及貨品銷售相關的下列責任（不論該等責任因何種原因（包括由於疏忽）所致）：（一）間接的，特殊的，附帶的，後果性的或懲罰性的損失，損害或費用；及（二）經濟損失，利潤損失或任何下列損失之賠償 - 收入、客戶、交易、商譽、預期儲蓄及產品效用。

 

To the extent permitted by applicable law, we and all our officers, agents, employees, contractors, other representatives and affiliated companies will not be liable for any: (i) indirect, special, incidental, consequential or punitive losses, damages or expenses; and (ii) damages for economic loss, loss of profits or loss of any of the following: revenue, clients, bargain, goodwill, anticipated savings, use of products, arising out of, in connection with or related to the Websites and the sale of goods, howsoever arising, including as a result of negligence.

 

3. 就由第三方對閣下或閣下對第三方的任何索償，不管有關責任產生的基礎如何，不論其是因為違反合同、侵權（包括​​過失）、衡平法、法律、彌償條款，違反了習慣法的隱含條件和保證或一般的法律或法規，也無論我們是否意識到或應該已經知道這種損失的可能性，該賠償責任均適用於本條款及條件的責任豁免。

The exclusion of liability herein applies regardless of the basis on which such liability arises, whether for breach of contract, in tort (including negligence), in equity, under statute, under an indemnity, for breach of conditions and warranties implied by custom, the general law or statute, in respect of any claims by a third party against you or otherwise and whether or not we were aware or should have been aware of the possibility of such loss.

 

4. 閣下必須注意及遵守所有適用的法律和法規，包括取得所有必要的海關，進口或其他許可證，以購買並收到我們的商品。部份送遞給閣下的商品可能會被某些國家的法律予以禁止進口或出口。對於閣下所購買的貨物進口或出口，我們不作任何陳述，且不接受有關的任何責任。

 

You must observe and comply with all applicable laws and regulations, including obtaining all necessary customs, import or other permits to purchase and receive Goods from us. The importation or exportation of certain of our Goods to you may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the Goods you purchase.

5. 無論是因合同法，侵權法或其他所產生的或與本合同有關的責任，我們對閣下或任何第三人的最高責任額，僅限於引起索賠的，閣下的訂單所支付的金額。

 

Our maximum aggregate liability to you, or to any third parties, whether in contract, tort or otherwise, arising out of, or in connection with the Contract is limited to the amount paid by you for the Order in respect of which the claim arises.

 

Warranties

在適用法律允許的情況下，我們不對本網站所載資料的準確性作出任何保證，並且無須因本網站所載資料有誤而承擔任何責任。我們有權不時修改或修復本網站的任何排版上的錯誤或其它失誤或遺漏、任何銷售資料、報價、價格清單、要約的接受、發票或其它由我們出具的文件或發放的資料，而無須給予事先通知或承擔任何責任。

 

To the extent permitted by applicable law, we give no warranty as to the accuracy of the information contained on the Websites and accept no liability arising from any inaccuracy of the information therein contained.  Any typographical error, clerical or other error or omission on the Websites, sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by us may be corrected or amended at any time without any prior notice or liability on our part.

General Terms

1. 我們未能或遲延行使權利、權力或補償權利不應構成棄權。此外，單獨或部分行使以上權利或權力並不排除任何進一步行使該項權利或權力或行使任何其他權利、權力或補償權利之權利。在不限制上述規定的前提下，我們對閣下違反整套條款或合同之規定的棄權不得視為對閣下其後違反相同規定或違反其他規定之棄權。

No failure or delay by us in exercising any right, power or remedy will operate as a waiver thereof, nor will any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy. Without limiting the foregoing, no waiver by us of any of your breach of any provision of the Full Set of Terms or the Contract will be deemed to be a waiver of any subsequent breach of that or any other provision of the same.

 

2. 我們無須對由以下原因直接或間接地引起的任何失責履行承擔責任：天災、火災、洪水、意外事故、暴動、戰爭、恐怖襲擊、政府干預、貿易禁運、罷工、勞資糾紛、設備故障（包括但不限於互聯網故障）或其他超出我們合理控制之因素。 

 

We will not be liable for any default of obligations or duties directly or indirectly caused by or resulted from acts of God, fire, flood, accident, riot, war, terrorist attack, government intervention, embargoes, strikes, labour disputes, equipment failures (including but not limited to internet system failure), or any other causes beyond our reasonable control.

3. 未經我們事先書面同意，閣下不得轉讓閣下在整套條款或和同項下的任何權利或義務予任何第三方。

You may not assign or transfer any rights or obligations under the Full Set of Terms or the Contract to any third person without our prior written consent.

4. 我們保留可隨時在不事先通知閣下的情況下修訂整套條款之權利。

We reserve the right to amend the Full Set of Terms from time to time without prior notice to you.

 

5. 我們會盡力確保本網站所提供的資料，即產品價格、詳情、大小或其他任何資料正確，惟我們保留任何修改或更改此等資料權利而毋須預先通知。對於閣下因使用本網站內任何資料包括但不限於錯誤的資料或價錢，我們概不承擔任何法律責任。

We will make every effort to ensure all the prices, details, size and any other information of the item(s) are correct but we reserve the rights to change and amend this information without prior notice. We are not liable for any loss and damages associated with using this site however caused, including but not limit to incorrect prices and information.

 

6. 儘管我們盡努力將商品盡快交付給閣下，但我們並不保證或擔保貨物的交付日期及時間，因其會因我們合理控制範圍以外的事項或其他因素或不明確的因素 (包括但不限於通關手 續) 而受到影響。

While we endeavor to have Goods delivered to you as soon as practicable, we make no guarantee or warranty as to the delivery date and time of the Goods which may be affected by matters outside of our reasonable control or any other factors or uncertainties, including without limitation customs clearance procedures.

 

7. 如閣下因使用本網站而導致任何損失，而該情況不在我們的合理控制範圍內，包括並不限於互聯網錯誤傳輸或傳遞，延誤或未能處理該項訂單或交易，或任何其他不能合理控制原因，我們概不承擔任何責任。

We hold no responsibility for any loss you may suffer from accessing this website including but not limit to any transmission error or delays in transaction or any whatever reasons of loss that beyond our reasonable control.

8. 整套條款及合同的條款中每一條款應有獨立的強制執行力，其效力不受其他條款之無效性所影響。倘若任何條款於任何方面被定為無效、非法、不可執行或不能履行的，其餘條款之有效性、合法性、可執行及履行性不應因上述情況而在任何方面受到影響或損害。此外，該無效、非法、不可執行或不能履行的條文將被另一條或多條與其具類似內容而又於適用法律下可被視為合法、有效及具執行力之條文取替。

 

The provisions contained in each clause of the Full Set of Terms and the Contract are enforceable independently of each of the others and its validity will not be affected if any of the others is invalid. If any provision is determined to be illegal, invalid, or unenforceable, the validity and enforceability of the remaining provisions will not be affected and, in lieu of such illegal, invalid, or unenforceable provision, there will be added as part of the Full Set of Terms and the Contract one or more provisions as similar in terms as may be legal, valid and enforceable under the applicable law.

9. 整套條款及合同均受香港法律管轄及詮釋。

Both the Full Set of Terms and the Contract are governed by and construed in accordance with the laws of Hong Kong.  

 

10 此網站的使用，閣下因使用此網站而與我們引起的任何合約關係，及本條款與細則，應以中華人民共和國香港特別行政區 (香港特別行政區) 法律解釋和受其管轄，雙方同意不可撤銷地接受香港特別行政區法院之非專屬司法管轄權管轄。

Your use of this site, any contract between you and Smiley Gift Club/ Like Hong Kong.com and these Terms and Conditions shall be governed by and constructed in accordance with the laws of Hong Kong Special Administrative Region of the People's Republic of China (HKSAR) and subject to the exclusive jurisdiction of the courts of HKSAR.  The parties hereby submit to the non-exclusive jurisdiction of the courts of Hong Kong.

本條款與細則備有中文版及英文版。如有任何分歧，應以英文版為准。

If any discrepancy occurs between the English & Chinese versions of these Terms of Conditions, the English language version shall prevails.
